1. Acceptance of Terms

By accessing or using Geodocs ("the Service"), available at geodocs.io, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Service. Geodocs is a Software-as-a-Service (SaaS) platform operated by ONIKODE SOLUTIONS LTDA ("Company", "we", "us", or "our"), that combines Project Management, Geographic Information Systems (GIS), and Artificial Intelligence (AI) for companies managing physical-world assets and projects.

2. Description of Service

Geodocs provides a comprehensive platform that includes:

• AI-powered onboarding and workspace customization
• Project and folder management with unlimited nesting
• Geospatial data visualization and management
• Assignment and task tracking
• Expense management and categorization
• User groups and permission management
• File attachments and layer connections

3. Account Registration

To use Geodocs, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Trial Period and Subscription

4.1 Free Trial

We offer a 14-day free trial with full access to Business features. No credit card is required to start the trial. After the trial period, your workspace becomes read-only until you subscribe to a paid plan.

4.2 Subscription Plans

We offer Lite, Pro and Business subscription tiers. Each tier includes different feature sets, storage limits, and compute credits. Pricing and features are subject to change with reasonable notice.

4.3 Payment

Subscription fees are billed in advance on a monthly or annual basis. Payments are processed by our payment partner, Paddle, who acts as the Merchant of Record for all transactions.

4.4 Refund Policy

If you are not satisfied with the Service for any reason, you may request a full refund within 14 days of your subscription purchase date. Refunds are granted unconditionally — no questions asked. To request a refund, contact us at [email protected]. Refunds are processed by Paddle and will be returned to the original payment method.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload malicious code or attempt to compromise system security
• Interfere with other users' access to the Service
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without authorization
• Upload content that infringes intellectual property rights
• Use the Service to store or transmit sensitive personal data without appropriate safeguards

6. Your Data

6.1 Ownership

You retain all rights to the data you upload to Geodocs, including geospatial data, project information, attachments, and any content created within your workspace.

6.2 License to Us

You grant us a limited license to host, process, and display your data solely for the purpose of providing the Service. This includes processing by our AI features to customize your experience.

6.3 Data Export

You may export your data at any time while your subscription is active. We provide data portability features to help you retrieve your information.

7. Intellectual Property

Geodocs and its original content, features, and functionality are owned by ONIKODE SOLUTIONS LTDA and are protected by international copyright, trademark, and other intellectual property laws. Our AI technology, templates, and platform design remain our exclusive property.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide reasonable notice for planned maintenance when possible.

9. Limitation of Liability

To the maximum extent permitted by law, Geodocs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

11. Termination

We may terminate or suspend your account at any time for violation of these terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service ceases immediately, though we may retain your data for a limited period as described in our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of Brazil, without regard to conflict of law principles.
